WorkMate AISkill Vault

1. Agreement and Parties

These terms form a legal agreement between you and WorkMate OS Systems Limited, trading as WorkMate OS and WorkMate Systems. By creating an account, joining early access, buying a plan or using the service, you agree to these terms.

If you use WorkMate OS for a company, partnership, charity or other organisation, you confirm that you have authority to bind that organisation.

2. Our Services

WorkMate OS provides AI-assisted business operations tools, including inbox support, admin workflows, reporting, approvals, content drafting, specialist modules, integrations and automation.

Features may be released, changed, limited, suspended or withdrawn as the product develops. Beta, preview and experimental features may be incomplete, unstable or subject to additional limits.

3. Accounts and Security

You must provide accurate account information, keep login details secure and promptly tell us about suspected unauthorised access. You are responsible for activity under your account unless caused by our breach of these terms.

We may require security steps such as email verification, password resets, multi-factor authentication or administrator approval.

4. Plans, Fees and Taxes

Paid plans, add-ons, trials and early-access offers are shown at checkout, in-app or in your order form. Fees are due in the currency, billing cycle and amount stated at purchase.

Unless stated otherwise, taxes are additional and you are responsible for applicable taxes. Failure to pay may result in downgrade, suspension or termination.

5. Customer Content and Outputs

You keep ownership of content you upload or submit to WorkMate OS. You grant us the permissions needed to host, process, transmit, analyse, generate, display and support that content so we can provide the service.

As between you and WorkMate OS, you own outputs generated for you to the extent permitted by applicable law and third-party provider terms. Similar or identical outputs may be generated for other users because AI systems can produce comparable results from similar instructions.

6. AI Output Review

AI outputs may be inaccurate, incomplete, offensive, outdated or unsuitable for your circumstances. You are responsible for reviewing, validating and approving outputs before relying on them, sending them externally, filing them, publishing them or using them in business decisions.

WorkMate OS does not provide legal, financial, medical, tax, employment, safety-critical or regulated professional advice unless a separate written agreement expressly says otherwise.

7. Acceptable Use

You must use WorkMate OS lawfully, safely and in line with our Fair Use Policy. You must not misuse the service, bypass limits, attack infrastructure, upload unlawful content, infringe rights, send spam or use outputs for harmful, deceptive, abusive or illegal activity.

8. Third-Party Services and Integrations

WorkMate OS may connect with third-party services you authorise. We are not responsible for third-party services, their content, downtime, changes, data handling or acts and omissions.

You are responsible for having the rights and permissions needed to connect third-party accounts and process data through WorkMate OS.

9. Availability, Changes and Suspension

We aim to provide a reliable service but do not guarantee uninterrupted or error-free availability. Maintenance, provider outages, security incidents, usage spikes or changes by connected services may affect availability.

We may suspend or limit access where needed for security, legal compliance, non-payment, breach of terms, abusive use or risk to the service or other users.

10. Confidentiality and Data Protection

Each party must protect confidential information received from the other and use it only for the purposes of the agreement. Data protection is handled under our Privacy Policy and, where we process customer personal data as processor, our Data Processing Agreement.

11. Intellectual Property

We and our licensors own WorkMate OS, including software, design, branding, workflows, documentation, templates, models, improvements and platform technology. You may not copy, reverse engineer, resell or create competing services from WorkMate OS except as permitted by law.

12. Liability

Nothing in these terms limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Subject to that, WorkMate OS is not liable for indirect, consequential or special losses, loss of profit, loss of revenue, loss of goodwill, loss of data, business interruption, failed integrations, third-party service issues or unreviewed AI outputs. Our total liability is limited to the fees you paid for the service in the three months before the event giving rise to the claim.

13. Termination

You may stop using WorkMate OS at any time. We may terminate or suspend access if you materially breach these terms, fail to pay, create legal or security risk or misuse the service.

On termination, your right to use the service ends. Certain terms continue where needed, including payment obligations, confidentiality, data handling, intellectual property, liability limits and dispute provisions.

14. Governing Law

These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except where consumer law gives you mandatory rights in another location.
